1. General provisions
This document is an official proposal (public offer) from AdAstra Digital Marketing (the Contractor) for any individual or legal entity (the Client) to enter into an agreement for services in advertising, marketing, analytics, SMM, SEO, and other digital activities.
Payment for services or submission of a request constitutes full and unconditional acceptance by the Client of all terms of this offer.
2. Subject of the agreement
2.1. The Contractor agrees to provide the Client with digital marketing services in accordance with the approved brief, scope, or correspondence.
2.2. The Client agrees to accept the services provided and make timely payment.
3. How the agreement is concluded
3.1. The agreement is considered concluded from the moment of:
- submitting a request
- confirming cooperation via correspondence (email or messenger)
- making payment of an invoice or advance payment
3.2. All agreements between the parties, including those made via messengers, have legal force in accordance with Articles 205 and 642 of the Civil Code of Ukraine.
4. Rights and obligations of the parties
The Contractor agrees to:
- provide services with due quality, within the agreed deadlines and scope
- keep information received from the Client confidential
- inform the Client about work progress
The Client agrees to:
- provide the necessary materials, access credentials, and information in a timely manner
- not interfere with service delivery without prior notice
- make payment in accordance with the agreed terms
5. Pricing and payment terms
5.1. The cost of services is determined in the issued invoice, commercial proposal, or confirmed correspondence.
5.2. Payment is made based on an invoice or agreed payment details such as a bank card, Payoneer, Wise, and similar methods.
5.3. Services are considered paid from the moment the funds are credited to the Contractor's account.
6. Liability of the parties
6.1. The Contractor is not liable for:
- technical failures in third-party services such as Google, Meta, or Telegram
- changes in ad platform algorithms or moderation policies
- delays caused by the Client's untimely provision of materials
6.2. The Client is responsible for the accuracy and legality of the provided information, content, and advertising materials.
7. Termination of the agreement
7.1. The agreement may be terminated by mutual consent or unilaterally with 5 days' written notice.
7.2. If the Client refuses the services after work has started, the paid advance is non-refundable.
7.3. If the Contractor fails to complete the agreed scope of work, the Contractor must refund the part of the payment proportionate to the uncompleted tasks.
8. Force majeure
The parties are released from liability in the event of force majeure circumstances such as military actions, cyberattacks, power outages, natural disasters, platform blocks, and similar events that make performance impossible.
9. Confidentiality
All information received during cooperation is confidential and may not be disclosed to third parties without the consent of the other party.
10. Dispute resolution
All disputes are resolved through negotiations. If agreement cannot be reached, disputes are resolved in accordance with the applicable laws of Ukraine.

12. Acceptance of the offer terms
Payment for services, confirmation of a request, or confirmation of cooperation means that the Client fully agrees to the terms of this agreement.
